Terms of Service and End User License Agreement

These terms govern your use of the NexGen Hosting client portal at https://hosting.nexgenitsolutions.net (the "Service"), provided by NexGen IT Solutions, a business based in Michigan ("NexGen", "we", "us"). By signing in or using the Service you agree to these terms. If you do not agree, do not use the Service.
1. The Service
The Service lets our web design and hosting customers ("you") view their websites, submit website content, run SEO and speed reports, see analytics, view and pay invoices, manage a payment method, request support, and request plan changes. The Service is an addition to, and not a replacement for, the proposal or agreement you signed with NexGen for design and hosting work. If these terms conflict with that agreement, the signed agreement controls for the work it covers.
2. License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business purposes while you are a NexGen customer. You may not copy, resell, reverse engineer, probe, or interfere with the Service, or use it to access another customer's information.
3. Accounts and security
You sign in with the email address on your account. You are responsible for the people you add to your account, for keeping your password and sign-in codes private, and for activity under your account. Tell us promptly at support@nexgenitsolutions.net if you think your account has been used without permission.
4. Plans, invoices, and payment
- Plan prices and what each plan includes are shown in the Service and in your proposal.
- Plan changes (upgrades or downgrades) take effect after 30 days' notice, as described in the Service.
- Invoices are issued through QuickBooks. You can pay an invoice online through the secure payment page provided by Intuit QuickBooks.
- You are responsible for any taxes that apply and for charges your card issuer or bank may add.
5. Saved card, autopay, and charges outside your plan
You may save a payment card in the Service. Card details are entered into a form that sends them directly to Intuit QuickBooks Payments. NexGen never receives or stores your full card number or security code. We keep only the card brand, the last four digits, the expiration date, and a reference that identifies the card in your Intuit account.
When you save a card you are shown two separate authorizations, and each one is optional and recorded with the date and time you gave it:
- Autopay. If you turn autopay on, you authorize NexGen to charge the saved card for your invoices when they become due or past due. You can turn autopay off at any time on your Billing page, and the change applies to future charges.
- Work outside your plan. If you authorize it, you allow NexGen to charge the saved card for additional work that you requested or approved and that falls outside your plan. Each such charge is billed on an invoice, and you receive a receipt by email. If you do not give this authorization, we will not charge your card for work outside your plan.
You can remove your saved card at any time on your Billing page. If a charge is declined three times, autopay is turned off and we will notify you.
6. Your content
You keep ownership of the text, images, logos, and other material you submit. You give NexGen permission to use that material to build, host, update, and support your website. You confirm that you have the right to submit it and that it does not infringe anyone's rights or break the law.
7. Reports and third-party services
SEO audits, speed tests, and analytics are provided for information. They use third-party services such as Google PageSpeed Insights and Google Analytics, and results depend on those services and on your website. We do not guarantee any ranking, traffic, or business result. The Service connects to QuickBooks (Intuit) for invoices and payments and to Microsoft 365 for email. Those services have their own terms.
8. Availability
We work to keep the Service available but do not promise it will be uninterrupted or error free. We may update, change, or pause parts of the Service for maintenance or security.
9. Ending your access
You may stop using the Service at any time. We may suspend or end your access if you break these terms, if an invoice is seriously overdue, or if your agreement with NexGen ends. Hosting service is also subject to the cancellation terms in your signed agreement.
10. Disclaimers and limits
The Service is provided "as is" and "as available". To the fullest extent the law allows, NexGen disclaims all implied warranties, and is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid NexGen for the Service in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
11. Changes
We may update these terms. The date at the top shows when they were last changed. If a change is significant we will tell you in the Service or by email. Continuing to use the Service after a change means you accept it.
12. Governing law
These terms are governed by the laws of the State of Michigan, and disputes will be handled in the state or federal courts located in Michigan, unless your signed agreement with NexGen says otherwise.
